1. Introduction & Acceptance of Terms

Welcome to Digital Disha ("Company", "we", "us", or "our"). These Terms and Conditions govern your access to and use of our websites, SaaS platforms, custom software development services, API integrations, and digital marketing services. If you disagree with any part of these terms, you must discontinue the use of our services immediately.

2. Services & Software Licensing

Digital Disha provides proprietary software, including but not limited to Digital Disha CRM, WhatsApp Cloud API Marketing engines, School ERP systems, IVR solutions, and custom web applications.

• License Grant: Upon full payment of the agreed license fees, the Company grants you a non-exclusive, non-transferable, revocable license to utilize the software for your internal business operations.
• Restrictions: You shall not reverse-engineer, decompile, redistribute, resell, or sub-license the source code or proprietary software without express written permission from Digital Disha.

3. WhatsApp Cloud API & Third-Party Platforms

Our WhatsApp marketing suite operates via official Meta Business Cloud APIs. You agree to strictly abide by Meta's Business and Commerce Policies. Digital Disha is not liable for account suspensions, template rejections, or phone number blocks resulting from spam, unsolicited bulk messages, or violations of Meta's messaging policies by the user.

4. Client Obligations & Data Accuracy

Clients are responsible for ensuring that all business details, phone numbers, customer lists, and content provided for campaigns or database uploads comply with Indian data privacy guidelines and have obtained necessary customer consent.

5. Payments, Invoicing & Taxes

All software setups, annual subscriptions, and development projects are billed according to official quotations and invoices issued by Digital Disha.

• Payments must be remitted via approved channels (Bank Transfer, UPI, Payment Gateway).
• Applicable GST or local statutory taxes will be charged as per Government of India guidelines.
• Failure to pay renewal or server maintenance fees within the grace period may result in temporary suspension of service.

6. Intellectual Property Rights

All trademarks, branding logos, proprietary algorithms, website design elements, and underlying codebase remain the exclusive intellectual property of Digital Disha unless explicitly transferred under a custom bespoke contract.

7. Limitation of Liability

In no event shall Digital Disha, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or server downtimes caused by upstream cloud providers (AWS, Meta, Google Cloud).

8. Governing Law & Dispute Jurisdiction

These terms shall be governed by and construed in accordance with the laws of India. Any legal disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Jorhat, Assam, India.
